These terms govern use of this website and the engagement of services provided by sinsaply. Please read them carefully before submitting an enquiry or engaging our services. Use of this website constitutes acceptance of these terms.
1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Agreement" means these Terms and Conditions together with any engagement letter or written scope of work agreed between us.
- "Client" / "You" means the individual or entity engaging sinsaply for legal services, or using this website.
- "Services" means the inheritance law advisory services described on this website, including Will Update Review, Family Trust Documentation, and Cross-Border Inheritance Coordination.
- "We" / "Us" / "Our" means sinsaply, a legal practice registered and operating in Thailand.
- "Website" means the website accessible at the domain where this page is published.
- "Written Note" means any written advice document, summary, or analysis produced by sinsaply in the course of a service engagement.
2. Acceptance of Terms
By using this website or submitting an enquiry, you confirm that:
- you are at least 18 years of age and have the legal capacity to enter into a binding agreement;
- you have read and understood these Terms and Conditions and agree to be bound by them;
- if acting on behalf of another person or entity, you have authority to bind that person or entity.
An engagement for Services is formed when we issue a written confirmation of scope and fee and you confirm your wish to proceed. Use of this website alone does not constitute an engagement for Services.
3. Service Description
sinsaply provides inheritance law advisory services in Thailand, focused on three areas:
- Will Update Review: review of an existing will and, where instructed, drafting of an update.
- Family Trust Documentation: written assessment of the suitability of a trust arrangement and, where instructed, preparation of trust documents.
- Cross-Border Inheritance Coordination: review and coordination of succession matters across multiple legal jurisdictions.
Services are available to individuals and families. We do not provide corporate succession advisory as a standalone service. Services are delivered in English. Where Thai-language documents are required for official purposes, this will be described in the scope of work.
We advise on Thai law only. For cross-border matters, we coordinate with qualified foreign counsel but do not advise on foreign law ourselves.
4. User Responsibilities
You agree to:
- provide accurate and complete information when submitting enquiries and during the course of any engagement;
- inform us promptly of any change in circumstances that may affect the matter we are handling;
- use this website only for lawful purposes and in a manner consistent with these Terms;
- not use this website to transmit unsolicited communications or to attempt to gain unauthorised access to any part of our systems.
5. Intellectual Property
All content on this website — including text, design, and structure — is owned by or licensed to sinsaply. You may not reproduce, distribute, or adapt any part of this website without our prior written permission.
Written Notes and documents prepared specifically for you in the course of a service engagement are provided for your personal and family use. You may share them with other advisers acting on your behalf. You may not commercially reproduce or publish them without our permission.
6. Fees and Payment
Fees for each service are as stated on this website at the time of engagement:
- Will Update Review: 4,800 THB per engagement
- Family Trust Documentation: 8,200 THB per engagement
- Cross-Border Inheritance Coordination: 13,800 THB per engagement
All fees are stated in Thai Baht (THB) and include applicable VAT where required. Fees are fixed for the scope described at the outset. Any work agreed outside the original scope will be described and priced separately before it is undertaken.
Payment terms will be set out in the engagement letter. We accept bank transfer. Fees are generally payable on completion of the written note or document, unless otherwise agreed.
Cancellation: If you decide not to proceed after work has begun, we will invoice for the portion of work completed to that point, on a reasonable basis. Work not yet begun is not charged.
7. Service Delivery Terms
We will carry out each engagement with reasonable care and skill, in accordance with the professional obligations of the Lawyers Council of Thailand.
- Scope: The scope of each engagement is agreed in writing before work begins. We will not extend the scope without informing you and agreeing a revised fee.
- Timeline: Indicative timelines are provided at the outset of each engagement. Timelines depend in part on the information and instructions you provide, and — for cross-border matters — on the responsiveness of foreign authorities and counsel.
- Client pace: We structure our work to allow you to consider written advice at your own pace. We do not impose internal deadlines on client decision-making.
- Confidentiality: We treat all client information as confidential in accordance with our professional obligations and our Privacy Policy.
8. Disclaimers
The information on this website is provided for general informational purposes only and does not constitute legal advice. You should not act on the basis of website content alone without obtaining specific advice for your situation.
While we take care to keep the website current, we make no representation that the information is accurate, complete, or up to date at any particular time.
Engagement of our Services provides legal advice for your specific situation. It does not create a solicitor-client relationship beyond the scope of the agreed engagement.
9. Limitation of Liability
To the maximum extent permitted by Thai law:
- Our liability for any claim arising from a service engagement is limited to the fee paid for that engagement.
- We are not liable for indirect, consequential, or incidental loss arising from your use of our services or this website.
- We are not liable for losses arising from circumstances beyond our reasonable control, including delays caused by foreign authorities, third-party counsel, or events of force majeure.
Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other matter that cannot lawfully be excluded.
10. Indemnification
You agree to indemnify and hold harmless sinsaply and its practitioners from any claim, loss, or expense arising from your breach of these Terms or your provision of inaccurate or misleading information in the course of an engagement.
11. Termination
Either party may end an engagement by written notice at any time. On termination:
- we will invoice for work completed to the date of termination;
- we will return or securely delete client documents and information in accordance with our Privacy Policy and professional obligations;
- clauses 5, 8, 9, 10, 12, and 13 of these Terms survive termination.
12. Governing Law and Dispute Resolution
These Terms and any dispute arising from them are governed by the laws of the Kingdom of Thailand. The courts of Thailand have non-exclusive jurisdiction over any dispute.
Before commencing formal proceedings, both parties agree to attempt to resolve any dispute informally by written communication. If informal resolution fails, either party may refer the matter to mediation before the Thai Mediation Centre or to the courts of Bangkok.
13. General Provisions
- Entire agreement: These Terms, together with any engagement letter, constitute the entire agreement between us for the matters they cover.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
- Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign operational obligations to qualified members of our team without notice.
- Notices: Formal notices under these Terms should be sent by email to [email protected] or by post to our registered office address.
14. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised date. Continued use of the website after the effective date constitutes acceptance of the revised Terms. Existing service engagements are governed by the Terms in force at the time the engagement was confirmed.
